Terms of Use
These terms apply to everyone who submits a proposal, quote or bid, requests access, or signs in to ATLAS PBQ.
1. Acceptance of these terms
ATLAS PBQ (the “Portal”) is operated by Ruby Red Hospitality and its affiliated property entities (“Ruby Red,” “we,” “us”). These Terms of Use govern your use of the Portal, including submitting a proposal or quote, requesting access, signing in, downloading project documents and submitting bids.
By submitting any form, requesting access or signing in, you agree to these Terms and to our Privacy Policy on behalf of yourself and the company you represent. If you do not agree, do not use the Portal.
2. Eligibility and accounts
The Portal is for business use by vendors, contractors, subcontractors, suppliers and consultants. You must be at least 18 and authorized to act for your company.
- Provide accurate, current information and keep it up to date, including insurance and licensing.
- Sign-in links are personal. Do not share them or forward them to others.
- You are responsible for activity under your account and must tell us promptly about any unauthorized use.
- We may approve, deny, limit or revoke access to the Portal or any project at our discretion.
3. Proposals, quotes and bids
Submitting a proposal, quote or bid does not create a contract or guarantee work. Any engagement happens only through a written agreement or purchase order signed by an authorized Ruby Red representative.
- We may accept or reject any submission, in whole or in part, negotiate with any party, and waive minor irregularities.
- You bear all costs of preparing and submitting your proposal, quote or bid.
- Unless your submission states otherwise, pricing remains valid for [90] days after submission or the bid due date.
- Bids are sealed until the stated due date and time. You may revise a bid until then; late submissions may be rejected.
- You are responsible for reviewing and acknowledging every addendum issued for a project you bid.
4. Plans and confidential information
Drawings, specifications, addenda and other project documents (“Project Documents”) are confidential and remain the property of Ruby Red or its design professionals.
- Use Project Documents only to prepare a bid for that project.
- Share them only with your own employees, suppliers or lower-tier subcontractors who need them for that purpose and who are bound by the same obligations.
- Do not publish, resell or reuse Project Documents for any other project.
- Return or destroy Project Documents on request.
- Downloads and access are logged per company and user.
5. Your submissions and documents
You represent that information and documents you upload, including certificates of insurance, W-9s and licenses, are accurate and that you are authorized to provide them. You grant us the right to store, review and use your submissions to evaluate them, manage our vendor records, and meet legal, tax and audit requirements.
Please notify us if your insurance, licensing or company details change.
6. Acceptable use
You agree not to:
- access or attempt to access another company’s submissions or data;
- upload malware or interfere with the Portal’s operation or security;
- scrape, harvest or bulk-download content except as the Portal provides;
- impersonate any person or company, or submit false information.
7. Disclaimers
Project Documents are provided for bidding purposes. You are responsible for verifying site conditions, quantities and requirements, and for raising questions before the bid due date. The Portal is provided “as is” and “as available,” without warranties of any kind, and we do not guarantee it will be uninterrupted or error-free.
8. Limitation of liability
To the fullest extent permitted by law, Ruby Red will not be liable for any indirect, incidental, special or consequential damages, or for lost profits or bid preparation costs, arising from your use of the Portal or any decision about a submission.
9. Changes to these terms
We may update these Terms from time to time. The effective date above shows the latest version. Continuing to use the Portal after a change means you accept the updated Terms.
10. Governing law
These Terms are governed by the laws of the State of Texas. Any dispute will be resolved in the state or federal courts located in [COUNTY] County, Texas.
